Our team is experienced in the cannabis industry and beyond at structuring and facilitating in and out-of-court corporate restructurings on behalf of ad hoc committees, secured and unsecured creditors, as well as on behalf of distressed operators. This includes extensive experience with foreclosures, receiverships, UCC sales, consensual and contested changes of control, shareholder activism, and creditor rights. Feuerstein Kulick has been involved in various cannabis company restructurings (including multi-state operators with concurrent state-court proceedings) and is experienced at driving efficient, goal-oriented strategic negotiations. With expertise in state regulatory compliance and approval of license transfers across the U.S., Feuerstein Kulick is also experienced with restructuring in bankruptcy court, on behalf of debtors, creditors, and third-party agents.

Recent Representations

  • Advising ad hoc committee to a public multi-state operator on restructuring its existing senior secured debt in excess of $200mm due in 2025 and 2026
  • Represented a syndicate of lenders to TerrAscend’s Ilera operations, advising on a successful restructuring that resulted in full repayment of the $120 million debt in 2024
  • Represented The Greenrose Holding Company in its consensual foreclosure and corporate restructuring of $105 million amount of senior secured debt, including operations in AZ and CT
  • Advised lead lenders in receivership regarding an ancillary company operating in WA and MA.
