FK Served As Corporate And Regulatory Counsel To One Of The Largest Producers Of Cannabis In New York State

FK serves as corporate and regulatory counsel for one of the largest producers of cannabis and cannabis related products in the State of New York. In that role, FK assisted the company through its fundraising activities, including with respect to a comprehensive financing and equity investment arrangement with a third-party investor and its affiliates. Under the terms of the deal, the investor extended a senior secured loan of up to $18,000,00 and an additional private placement to acquire 49% of the equity in the company over various tranches. This transaction encompassed a range of sophisticated and interconnected agreements, including a loan agreement, an equity purchase agreement, shareholder agreement, and several ancillary documents, all while navigating the complexities surrounding the New York regulatory framework. FK will continue to provide navigation as ongoing counsel with respect to this transaction and ongoing regulatory matters with the constantly evolving New York market.
